1. Acceptance of Terms
By accessing and using the Munaqsa platform ("the Service"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the Service.
2. Description of Service
Munaqsa provides a digital procurement platform that connects buyers and suppliers. The platform facilitates tender creation, bid submission, evaluation, contract management, and related procurement activities.
3. User Registration and Accounts
3.1 Company Verification
All companies must complete the verification process to access the full features of the platform. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Tenders and Bidding
4.1 Tender Publication
Buyers are responsible for the accuracy and completeness of tender information they publish. Munaqsa does not guarantee the accuracy of tender content and is not liable for any errors or omissions in tender documents.
4.2 Bid Submission
Suppliers are bound by the terms of their submitted bids. Bids are encrypted and cannot be viewed by the tender issuer until the submission deadline. Late submissions are not accepted under any circumstances.
4.3 Non-Circumvention
You agree not to circumvent the platform by engaging directly with parties discovered through the Service outside of the platform, in violation of these terms.
5. Payments and Fees
5.1 Subscription Fees
Access to premium features may require subscription fees as described on the pricing page. Fees are non-refundable except as required by applicable law.
5.2 Tender Access Payments
Certain tenders may require payment for access. Payment does not guarantee award of contract. Access payments are non-refundable once the tender documents have been accessed.
5.3 Credits
Credits purchased on the platform are valid for the period specified at the time of purchase. Unused credits may expire according to the terms disclosed at purchase.
6. Intellectual Property
The Munaqsa platform, including its design, features, and underlying technology, is protected by intellectual property rights. You retain ownership of content you submit to the platform, but grant Munaqsa a license to use such content as necessary to provide the Service.
Tender documents and bid submissions are confidential and will be handled in accordance with our Privacy Policy and the confidentiality provisions of these terms.
7. Confidentiality
Users agree to maintain the confidentiality of all non-public information received through the platform, including but not limited to tender documents, bid prices, evaluation criteria, and communications. This obligation survives termination of these terms.
8. Limitations of Liability
To the fullest extent permitted by applicable law, Munaqsa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.
Munaqsa acts as a platform facilitator and is not a party to any contracts formed between buyers and suppliers through the platform. We disclaim all liability arising from transactions between platform users.
9. Termination
We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination shall survive.
10. Modifications to Terms
We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the platform. Continued use of the Service after such modifications constitutes acceptance of the updated terms.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Egypt.
12. Dispute Resolution
12.1 Negotiation
In the event of any dispute arising out of or in connection with these terms, the parties shall first seek to resolve the dispute through good faith negotiations.
12.2 Arbitration
If the dispute cannot be resolved through negotiation within thirty (30) days, either party may refer the dispute to arbitration in accordance with the rules of the Cairo Regional Centre for International Commercial Arbitration (CRCICA).
